§1 Scope and Acceptance

These Terms and Conditions ("Agreement") govern your participation in the Sleek Ambassador Program ("Program") operated by:

By submitting an application and accepting these Terms via Social Snowball or participating in the Program in any way, you ("Affiliate", "Ambassador", "you") agree to be legally bound by this Agreement.

Participants must be at least 18 years old. If you do not agree with any part of these Terms, do not participate.

§2 Program Overview

The Program allows approved individuals to promote Sleek products and earn commissions for qualifying sales made via their unique affiliate link.
Sleek may accept or reject any application at its sole discretion without justification.

§3 Commission and Payment

Commission Structure:
- Standard Affiliates earn 15% of Gross Revenue from qualifying purchases.
- Ambassadors who generate their first sale within 48 hours of approval will be upgraded to Gold Status, earning 20% commission and a one-time product bundle worth $119.
Gross Revenue Definition:
- The amount paid by the customer excluding shipping, VAT/sales tax, refunds, discounts, or promotional credits.
Payment Terms:
- Commissions are paid every 30 days, only for non-returned items during that period.
- Minimum payout threshold: $25
- Payments will be made to the method provided during registration (e.g., PayPal).
Returns and Chargebacks:
- Commissions on returned or fraudulently obtained purchases are deducted or withheld.
- Repeated misuse may result in account termination and forfeiture of unpaid commissions.
Multiple Accounts Prohibited:
- One account per person. Duplicate registrations will result in immediate termination.

§4 Ambassador Obligations

Platform Conduct:
- Promotion may occur globally across any platform, except:
  - Paid search ads using Sleek brand terms
  - Sites that harm brand image or exploit marketing (e.g., coupon farms)
  - Spam, fake traffic, or fraud in any form
Content Requirements:
- Ambassadors must comply with:
  - Industry standards
  - Country-specific disclosure laws (e.g., #ad, #sponsored)
- No defamatory, racist, violent, sexually explicit, or misleading content.
Brand Communication:
- Sleek will provide style guides, brand assets, and approved messaging through:
  - Discord, Notion, Google Drive, or email.
- You are obligated to review and follow these guidelines.
Right to Remove Content:
- Sleek reserves the right to request the takedown of any content that does not reflect the brand appropriately.

§5 Content Usage Rights (UGC License)

Usage by Brand:
- All content created under this Program may be used by Sleek for:
  - Organic social media
  - Paid advertising
  - Website testimonials
  - Other digital/print marketing
- This license is perpetual, worldwide, and royalty-free.
Creator Image Rights:
- Sleek will act in good faith and remove content upon reasonable request by the creator if its usage negatively affects the creator’s personal or professional image.

§6 Confidentiality and Non-Disparagement

Confidential Information shared with you must not be disclosed during or after participation.
Non-Disparagement: You agree not to publicly criticize Sleek, its products, or operations in any way that could damage its reputation.

§7 Independent Contractor Status

You are an independent contractor, not an employee, agent, or legal representative of Sleek.
You are solely responsible for your tax reporting and compliance with applicable laws in your country.

§8 Legal Compliance

You represent and warrant:
- You are over 18 and legally able to enter into this agreement.
- Your participation complies with applicable advertising, consumer protection, and privacy laws.
- You will not violate intellectual property or personal rights of others.

§9 Termination and Breach

Termination by Sleek:
- Sleek may terminate or suspend your participation at any time, without prior notice, especially for:
  - Violation of these Terms
  - Fraudulent behavior
  - Misuse of brand assets
  - Inactivity or poor conduct
Effect of Termination:
- Upon termination, you will lose access to your link and dashboard.
- Any unpaid commissions related to violations or fraudulent activity may be forfeited.
Termination by You:
- You may withdraw from the program at any time by contacting ambassador@takesleek.com.

§10 Liability & Indemnification

Limitation of Liability:
- Sleek is not liable for indirect, incidental, or consequential damages (e.g., loss of revenue).
- Total liability is limited to commissions earned and payable at the time of claim.
Indemnity Clause:
- You agree to indemnify and hold Sleek harmless from any third-party claims, legal fees, or damages resulting from:
  - Your breach of these Terms
  - Your content or behavior
  - Your violation of law

§11 Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany.
Place of jurisdiction is Frankfurt am Main.
In the event of disputes, Sleek reserves the right to opt for arbitration or legal proceedings, whichever is in its favor.
The language of the contract is English.

§12 Severability

If any part of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

§13 Modification of Terms

Sleek reserves the right to modify these Terms at any time. Updates will be posted on the affiliate dashboard or sent via email. Continued participation constitutes acceptance of the new terms.

§14 Entire Agreement

These Terms represent the entire agreement between the parties and supersede any prior agreements or communications. No verbal statements or informal commitments are binding.
